The Panel Station is a unit of Borderless Access Pvt. Ltd., the defining provider of online panel services, through the website www.thepanelstation.com and/or The Panel Station app (hereinafter referred as the “App”).

These Terms & Conditions applies to all participants of The Panel Station website and the app.

About App: The Panel Station app is provided by Borderless Access Pvt. Ltd. (“Company”).

Any and all individuals dealing with the Panel Station, is subject to the following Terms and Conditions herein after also referred as general user conditions. By participating in The Panel Station you undertake to abide and agree to be bound by the privacy policy of the company and these general user conditions set by Company, which it shall be free to modify at any time without informing you of such changes. Consequently, it is recommended that you refer to the latest version of the Terms & Conditions regularly, which are available on the site at all times. Without exception, when joining this Service by clicking on the check box at registration, you agree to accept these general conditions beforehand, the purpose of which is to define the terms under which you benefit from the Service. You are joining the Service and your active participation in our site is subject to adhering to these general conditions.

"IF YOU OBJECT TO ANY OF THE TERMS AND CONDITIONS OR ANY SUBSEQUENT MODIFICATIONS THERETO, YOUR ONLY RECOURSE IS TO IMMEDIATELY DISCONTINUE PARTICIPATION IN THE PANELSTATION AND TO TERMINATE YOUR MEMBERSHIP.

The Company reserves the right to modify or discontinue The Panel Station program with or without notice to you.

1. Use of this Website and the Contract Between Us

1.1 In this Agreement the terms “you” and “the member” mean the individual completing the registration process to become a member of The Panel Station program.

1.2 You agree to only use this website and the App, in accordance with this Agreement and all applicable laws.

1.3 The offer by Company to take part in surveys and research sent by The Panel Station and your acceptance of that offer by providing the information that we request, brings into existence a legally binding contract between us which shall be governed by the terms and conditions mentioned herein under and any supplemental policies which Company has in place.

1.4 Once you have submitted your answers to our joining questionnaire you become a member of The Panel Station program.

1.5 This Agreement is a contract for the provision of services and nothing in this Agreement shall create or be deemed to create a legal partnership or the relationship of agent and principal or the relationship of employer and employee between you and the Company."

2. Rules of The Panel Station Bid To Win The Panel Station Bid To Win (“Bid To Win” or “Bid”) is a program on The Panel Station that allows participants to bid for a high value prize within a notified time duration. The Panel Station reserves the right to change the prize without providing any written notice. The details of the prizes and how to participate in Bid To Win are set forth in these Terms & Conditions. The participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Terms and Conditions.

2.1 Eligibility: Membership in The Panel Station panel is allowed for individuals who have attained the Legal Age as per this Terms & Conditions. Membership in certain panels may be further restricted based on your age. If you are less than the permissible Legal Age and win any prize or receive any award through The Panel Station Points or other incentive program, then such award will be made to your legal guardian. You are permitted to have only one account. This contest is open only to legal residents of Argentina, Australia, Brazil, Chile, China, Colombia, Ecuador, Egypt, France, Germany, Ghana, Hong Kong, India, Indonesia, Italy, Kenya, Kuwait, Malaysia, Mexico, Morocco, Netherlands, New Zealand, Nigeria, Peru, Philippines, Poland, Qatar, Russian Federation, Saudi Arabia, Singapore, South Africa, South Korea, Spain, Taiwan, Thailand, Turkey, United Arab Emirates, United Kingdom, United States of America and Vietnam. The contest is open to individuals who of Legal age or older unless otherwise specified in the invitation. To enter into the contest, you must either complete the registration process, designated survey or complete up to the point of termination, depending on the qualification requirements of the survey, or complete the designated profile questionnaire (personal interest survey) or screener survey or redeem the required Points under The Panel Station. You must receive the confirmation mail to be the eligible member for participating. In the event that a winner is under the Legal Age or such other age of any particular geographical location, the prize will be awarded in the name of the winner's parent or legal guardian. ID Proof of child is verified along with parent/guardian before sending the prize. Completion and eligibility are determined solely by The Panel Station. Borderless Access employees, family members of Borderless Access employees, and Borderless Access's suppliers, clients, distributors and/or sales agents, affiliates or subsidiaries, promotion and advertising agencies are not eligible to win. No purchase is necessary to participate in the contest. This contest is void where prohibited.

2.2. How to enter and Win: After successfully joining The Panel Station, the entrant (henceforth known as the “member”) shall have the option of converting their redeemable points into Coins. Such Coins can be then used to Bid on a prize to enter the contest.

2.2.1 The member has to surrender a base value of coins to enter into the contest. The coins are converted from the redeemable points on a 1:100 converter i.e., 1 point = 100 coins. When a minimum required number of participants have entered into the contest, the Bidding process will commence. Participants have the option of outbidding fellow contestants to claim the Prize. At the end of the Bidding period, the participant Bidding the highest number of coins will win the Prize.

2.2.2 In the event where multiple participants are declared the highest bidders, the Prize will be equally divided among the contestants.

2.3. Winner Selection & Communication: The winners shall be determined by the Bid amount that a member has surrendered, the odds of winning are determined by the number of eligible participants and the amount that participant has surrendered for that particular Bid. No prize transfer or cash redemption is permitted. Prize-winners will be notified by e-mail within seven (7) business days of winning the Bid. In order to claim his/her prize, the potential winners must – except where prohibited – return to Company, within fourteen (14) days of being notified, a copy of the confirmation email received after entry in Bid To Win, as well as a recent photograph. If Bid winner cannot be contacted within seven (7) days after the first attempt to contact them or if they fail to return the confirmation email within the required time period, the Participant shall not receive the due Prize. Each Eligible member must comply with all terms and conditions set forth in these Official Rules. The member's name and address on the identification must match exactly with the information provided in the profile. The members are expected to make the necessary modifications to their address before joining Bid To Win. Any and all the announcements of winner will be made on Social Media, The Panel Station website and the same would be communicated to the winner via email notification.

2.4 Elimination: Any false information provided within the context of Bid To Win by any member concerning identity, postal address, telephone number, ownership of right or noncompliance with these rules or the like may result in the disqualification of the member from the Bid To Win. Company further reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party or otherwise does not comply with these Official Rules

2.5 General Conditions: By accepting the prize, the winner grants to Company the right to use his/her name, likeness, hometown, biographical information, photograph, for any lawful purpose, without further permission or compensation, except where prohibited by law. By participating in this Bid, all members agree to release Company, its clients, and their respective parent companies, affiliates, subsidiaries, divisions, from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death, arising out of participating in this Bid, or the acceptance, possession, use or misuse of any prize, or while preparing for, participating in and/or traveling to or from any prize related activity and claims based on rights of publicity, rights of privacy, defamation or prize delivery. All entries become the property of Company. The Information collected will be used subject to Company's Privacy Policy.

2.6 By agreeing to the terms and conditions mentioned herein under, you accept and understand that Panel Station and its ancillary units and affiliates shall in no way be responsible for any defaults in the products which may be awarded to you on account of winning the Bid. The Panel Station disclaims all rights, responsibilities, liabilities, obligations & representations which may arise due to the usability or functionality of the products including but not limited to any warranties either express or implied except as required by applicable law. Neither we nor our affiliate units shall be liable for any direct, indirect, Incidental, special or consequential damages arising out of the use or inability to use the products delivered to you.

3. Redemption: The member can register for The Panel Station by clicking on the Banner Ad or through the Panel Station website. Members will be asked to answer basic profiling questions. To be eligible for the survey rewards, online registration and activation of account is necessary. The Company is not responsible for lost, late, incomplete, non-delivered, misdirected, illegible entries; or for any computer, cable, network, electronic or Internet hardware or software malfunctions or failures, garbled or jumbled transmissions, or service provider/Internet /web site/ use net accessibility or availability, traffic congestion or unauthorized human intervention; or the incorrect or inaccurate capture of entry information, or the failure to capture any such information. The member shall have the option to choose any of the partners from the panel station to redeem the points as per the milestones mentioned under this policy. The panel station disclaims all warranties pertaining to the functioning of the websites and any other process involved in the redemption of such from its partners. Every panellist can earn points on answering surveys. The points can be redeemed for gift vouchers or can be donated to charity. The redemption milestone is market dependent and will be duly informed to the Panellist. Redemptions are processed every week and you will receive your opted redemption within 2- 3 weeks from the date of redemption.

4. Obligations of The Panel Station

4.1 The Panel Station shall:

4.1.1 Consider your eligibility to take part in each of its surveys;

4.1.2 Enter your name into its Bid if you answer any qualifying questions;

4.1.3 Inform you the amount that will be credited to your My Station Account if you correctly and completely answer the questions comprising a Panel Station survey (the Notified Amount);

4.1.4 Credit the relevant Notified Amount to your Account each time you correctly and completely answer all of the questions in a survey; for the purposes of this Agreement. The Panel Station will not consider questions to be “correctly” answered if an answer is confusing or meaningless;

4.1.5 Transfer the amount in your Account into the form of reward points (These points can be redeemed for gift vouchers from specific companies/websites) within 1-2 weeks of your successfully completing a survey.; for the avoidance of doubt, you will not be able to draw down the amount in your Account until the amount in your Account has reached the threshold for required reward points.

4.2 There is no obligation on The Panel Station to select any panel member to answer survey questions. The members requested to take part in surveys depends on the requirements of the clients of The Panel Station and the random selection of those requested to take part from those that are eligible.

4.3 The Panel Station may sometimes contact you to ask you some short questions to see if you fit into a particular category. In such cases, The Panel Station shall not offer any payment for the answering of such questions.

4.4 The Panel Station reserves the right to:

4.4.1 offer a substitute reward of equivalent value to the payment method you have selected; and

4.4.2 change the value of the Nominated Amount in respect of answering survey and research questions.

4.5 The Panel Station does not credit your Account if you are in breach of Clauses 4.1.4 or 4.1.5.

4.6 Should the Panel Station establish that you are in breach of Clauses 4.1.4 or 4.1.5 after crediting your Account, The Panel Station reserves the right to deduct from your Account any Nominated Amounts credited in respect of all relevant surveys.

4.7 The Panel Station shall not be obliged to make any payment to a member:

4.7.1 Whose balance in their Account does not reach the minimum amount of Reward Points;

4.7.2 By agreeing to use this website you acknowledge and agree that the Company reserves the right to invalidate / quash your existing balance points accumulated over a period of time by your association with the panel station should you choose to remain inactive for a period of 12 months from the date of your last activity with the Company. For the sake of clarity, the term inactive shall mean to include but not limited to your failure in logging in to the panel station. Also, your failure to participate in any survey in which you have been requested to participate. The Company may choose to disassociate itself with you at its sole discretion should you fail to comply with the norms mentioned under this clause without informing you. The invalidation of your balance point would mean that you shall no longer be able use such points for the purpose to which they were assigned to you. You also undertake to hold the Company harmless against any rights or liabilities arising out of such invalidation.

4.7.3 By agreeing to the terms and conditions mentioned herein under, you understand and agree that the points which you may have accumulated during the course of your engagement with the Panel station are liable to be deducted on a monthly basis, which for the purpose of these terms and condition shall construe to mean that the validity of your points shall stand automatically expired on the completion of 12 months from the date of you acquiring such points irrespective of your account being active or not.

4.7.4 Whose balance in their Account is under the minimum level of Reward Points at a time that ‘The Panel Station’ service is suspended or terminated by Company in accordance with Clause 4; or

4.7.5 Who terminates their membership of The Panel Station prior to the balance of their Account reaching the minimum level of Reward Points.

5. Obligations of the Members

5.1 The Member warrants:

5.1.1 that they are of Legal Age;

5.1.2 that they are not Corporations or other business entities as they are not eligible to become Members.

5.1.3 that they are legal residents of Argentina, Australia, Brazil, Chile, China, Colombia, Ecuador, Egypt, France, Germany, Ghana, Hong Kong, India, Indonesia, Italy, Kenya, Kuwait, Malaysia, Mexico, Morocco, Netherlands, New Zealand, Nigeria, Peru, Philippines, Poland, Qatar, Russian Federation, Saudi Arabia, Singapore, South Africa, South Korea, Spain, Taiwan, Thailand, Turkey, United Arab Emirates, United Kingdom, United States of America and Vietnam.

5.1.4 that they shall not register with The Panel Station more than once;

5.1.5 that they will not attempt to answer a survey more than once, either by using more than one name or more than one email address to enter into a survey;

5.1.6 they will be honest in their approach to the research, for example they will not provide confusing or meaningless answers, randomly select answer options without reading the questions etc;

5.1.7 that they will provide truthful responses for each survey without rushing through the questions (e.g., straight lined responses) or providing gibberish responses on open ended questions.

5.2 Company has no obligation in respect of any tax or service fee due on the Reward given to a member and the member shall be responsible for declaring any income received from Company under this Agreement.

5.3 The member is obliged to claim payment from The Panel Station via the procedures set out on the website.

6. Termination

6.1 Company may terminate this Agreement and your membership of the Panel Station:

6.1.1 immediately on written notice if you are in breach of this Agreement;

6.1.2 at any time by giving you 30 days’ notice by email; or

6.1.3 if you fail to take part in surveys in any twelve-month period.

6.2 You can terminate this Agreement at any time by unsubscribing from The Panel Station. This can be done by email. The termination will take effect in three business days after the receipt of your notice. The Panel Station’s contact details are available on the website.

6.3 We may terminate this Agreement or may modify the terms of this Agreement, at any time without notice or cause.

7. Legal Age

7.1 The Legal Age (“Legal Age”) under this Terms and Conditions refers to the legally permissible age of the individual signing up for and participating in The Panel Station platform. This platform is not intended for any individual under the age of 18 years, or the legal age as prescribed under the relevant law.

8. Intellectual Property Rights

8.1 All copyright and other intellectual property rights in the materials on this website, including, but not limited to, text, software, photos, video, graphics, music and sound, and entire contents of the website are owned by Borderless Access Private Limited. Company, its subsidiaries and affiliates shall own any and all the rights and title on their trademarks, logos and/ or wordmarks used in connection with the website are owned by Company unless otherwise indicated. You may download, print or copy any material from this website that you wish, provided it is for your own personal, non-commercial use and you keep in place all original copyright notices or other intellectual property notices.

8.2 Subject to Clause 6.1 above, you may not copy, modify, alter, distribute, publish, sell or otherwise use any material on this website in whole or in part, unless you have obtained the prior written consent of Company.

9. Limitations on Liability

9.1 Company shall not be liable to you or to any other person or entity in any way, whether arising under contract, tort (including negligence) or otherwise, for damages of any kind arising from the use of this website and the App including, but not limited to, direct, indirect, incidental, punitive or consequential damages, lost revenue or profits, lost or damaged data or other commercial or economic loss, that result from your use of, or inability to use, this website.

9.2 If this limitation of liability provision shall be deemed unenforceable, either in whole or in part, then such parts as are unenforceable shall be deleted, the remaining parts shall remain in full force and effect and the liability of Company shall be limited to the greatest extent permitted by law.

9.3 Nothing in this Agreement shall exclude or limit the liability of Company for:

9.3.1 Death or personal injury arising from its negligence; or

9.3.2 Liability arising from fraud.

10. Disclaimer of Warranty

10.1 Separate terms and conditions may apply to certain products, services and materials available through this website, including but not limited to, any information, questionnaires, surveys, material, or other related information, provided on or through this website. If this is the case it will be brought to your attention. Subject to this, no express or implied warranties of any kind are made in respect of this website or the products, services and materials available through it.

10.2 Company does not warrant that this website and the App, will operate uninterrupted or error/virus free or that the information on this website is accurate or complete.

10.3 BORDERLESS ACCESS PRIVATE LIMITED. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON -INFRINGEMENT, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY ACTIONS OR OMISSIONS OF ANY THIRD PARTIES THAT, LIMIT, RESTRICT OR PREVENT ACCESS OR CONNECTION TO, OR USE OF, THE WEBSITE.

10.4 The website and the App together or individually is inherently complex and may not be completely free of errors, you must take regular backup and maintain copies of your data.

11. Data Protection Any personal information you submit to The Panel Station will be dealt with in accordance with our Privacy Policy.

12. Changes to this Terms of Use Policy From time to time we may add new features to the website and enhance the level of service that we offer to you. This may lead to changes in this Agreement. The Company shall be free to modify the Terms & Conditions or any part thereof, or add or remove any terms, at any time and with immediate effect, with or without informing you of such changes. Any such changes will be notified to you by us updating this Agreement and your subsequent use of this website will be deemed to signify your acceptance to the changes. Company reserves the right to modify or discontinue The Panel Station program or App with or without notice to you.

13. Entire agreement This Agreement supersedes all prior agreements, arrangements and understandings between the parties and constitutes the entire agreement between the parties relating to the subject matter hereof (save that neither party seeks to exclude liability for any fraudulent pre-contractual misrepresentation upon which the other party can be shown to have relied).

14. No Waiver No waiver by either party of any provision of or breach or violation of the provisions hereunder shall be deemed to be any waiver of previous breach or violation. The relief and remedy provided to you shall be effective only in the specific instance and for the specific purpose for which it was given.

15. Force Majeure Neither Company. nor you shall be held responsible for the damages or delays or failures in acts or omissions caused by occurrences or Force Majeure events beyond the reasonable controls of either of the parties. Such event shall include but not limited to, mob violence, fire, flood, riots, strikes, natural calamities, act of government, pandemic, epidemic, quarantine (“Force Majeure”) which makes performance hereunder illegal or impossible or any other similar act or condition beyond the control of either of the parties.

16. Jurisdictions and Law The parties irrevocably agree that the courts in India shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with this Agreement or the legal relationship established by them, and for those purposes irrevocably submit all disputes to the jurisdiction of the Indian courts.
